KONSU SERVICE PACKAGE FOR CHECKING AND REREGISTRATION OF OOO COMPANIES IN RUSSIA

Changes in the legislation on limited liability companies (“OOO”) shall enter into force on 1st July 2009.

Obligatory registration of the updated version of your OOO company charter in accordance with Federal Law No. 312-FZ should be brought in compliance with amendments and filed not later than on 31st December 2009.

The basic service package includes:

• checking of the current company charter
  
• preparing of a new version of the charter in accordance with the Law No. 312-FZ
  
• preparing the shareholders’ decision of approval of the new version of the charter
  
• preparing the registration form 13001
  
• registration of the new charter at the tax office
  
• informing the client’s bank(s) about changing of the company charter (changing of the bank card).

In addition to the basic service package for your OOO Konsu can help you in preparation of the list of participants of your OOO, which shall be obligatory as of 1st July 2009.

Further from 1st July 2009 transaction and pledge agreements of participatory shares will require notarization. Konsu also helps you in preparation of the transactions and pledge documentation and in their notarization as required by the new law.

As the dead line for your OOO company’s reregistration is already at the end of the year and a reasonable time period is needed for the preparation and filing of the new documents, we recommend you to ask our package price for your company’s basic service package at your earliest convenience.

Legal assistance for preparation of other documents, transactions and notarizations required by the new law shall be offered to you on hourly based rates case by case.
